Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of AGIHALO (the “Service”), including the AGIHALO API, agent registry, long-term memory, and payment console available at agihalo.com. By creating an account, connecting a wallet, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

AGIHALO provides a managed, multi-model routing and agent-infrastructure service through AGIHALO API keys. The Service adds independent features, including routing, per-key spend controls, usage metering, an agent registry, payment automation, and optional long-term memory. AGIHALO does not sell or transfer ownership of a third-party API account, credential, quota, committed unit, or credit balance. Features may change, be added, or be removed over time.

2. Accounts and Authentication

You may authenticate using a Google account, an email and password, or a Web3 wallet signature. You are responsible for maintaining the security of your account credentials, API keys, and wallet, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

To register as a model provider or request provider payouts, new applicants must successfully complete individual KYC through our identity-verification provider. Business KYB is not currently offered; previously accepted legacy KYB decisions may remain valid. You must provide accurate information and keep your verification current. We may disable provider credentials or suspend payouts if verification expires, is revoked, or cannot be confirmed.

Model providers must also accept the separate Provider Agreement and maintain every authorization required by the applicable upstream vendor.

3. Credits, Payments, and Refunds

  • Usage of the Service is paid from a prepaid AGIHALO service-credit balance associated with your account.
  • Credits may be purchased on-chain in USDC on the Base network, or by card through our payment processor, Polar. On-chain payments are non-custodial and irreversible once confirmed.
  • AGIHALO service credits are consumed as you use AGIHALO routing, memory, and related infrastructure based on the model and resources requested. Pricing is shown in the console and may be updated for future usage.
  • AGIHALO service credits are not Google Cloud, Gemini API, or any other model vendor's credits. They cannot be transferred to or redeemed with an upstream vendor, and do not give you ownership of AGIHALO's or a provider's upstream credential or quota.
  • Except where required by law, purchased AGIHALO service credits are non-transferable, may not be resold, are non-refundable, and have no cash value. Card payment disputes are handled in accordance with the processor terms.

4. Acceptable Use

You agree not to use the Service to:

  • violate any applicable law or the rights of others;
  • generate or distribute unlawful, harmful, or abusive content, or to attempt to bypass safety or usage controls;
  • reverse engineer, resell, or abuse the Service, or circumvent rate limits, quotas, or billing;
  • interfere with the integrity or performance of the Service or its infrastructure.

5. API Keys and Usage Limits

API keys are confidential and must not be shared publicly. We may apply rate limits, quotas, or other controls, and may suspend keys that generate abusive traffic or that put the Service at risk.

6. Intellectual Property

The Service, including its software, branding, and documentation, is owned by AGIHALO and its licensors. Subject to these Terms, you retain rights to the inputs you submit and the outputs you receive, to the extent permitted by the underlying model providers.

7. Third-Party Services

The Service relies on third parties, including model vendors such as Google, OpenAI, Anthropic, and DeepSeek; Google sign-in; Supabase (authentication and database); Polar (card payments); Didit (current provider KYC); Persona (legacy provider verification records); and public blockchain networks. Availability and permitted use of a model remain subject to the applicable vendor terms. AGIHALO is independent from these vendors, and use of a vendor name does not imply sponsorship, endorsement, partnership, or reseller authorization. We are not responsible for their acts or omissions.

8. Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. AI outputs may be inaccurate or incomplete, and you are responsible for evaluating their suitability before relying on them.

9. Limitation of Liability

To the maximum extent permitted by law, AGIHALO will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or credits. Our total liability for any claim relating to the Service will not exceed the amount you paid for the Service in the three months preceding the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. Provisions that by their nature should survive termination will survive.

11. Changes to the Terms

We may update these Terms from time to time. Material changes will be reflected by updating the date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the operator's jurisdiction, without regard to conflict-of-law rules.
